Capriotti's Totally Subsessed Contest Rules

I give Barkley, LLC (“Agency”), Capriotti's Sandwich Shop, LLC (“Sponsor”) and their respective parents, affiliates, subsidiaries, agents, licensees, successors and assigns and any party authorized by either of them (“Licensees”), the right to use, distribute and display my appearance, photograph, image, recordings, voice, likeness, statements and actions, and any materials based or derived from these items, and to give others the right to make such use, in any manner or media now known or hereafter invented that Licensees choose throughout the world in perpetuity, for the purpose of promoting Licensee’s products and services or any other lawful purpose.

I agree that any and all materials produced and/or resulting from my appearance and/or this release agreement (“Materials”) shall be owned exclusively by Sponsor, as a work-for-hire for Sponsor, and I have no rights, title or interest in or to such Materials. If for any reason any of the foregoing does not vest in Sponsor, I hereby assign the same to Sponsor. Licensees do not have to obtain my approval for such use, and do not need to credit me for such use. Nothing in this agreement requires Licensees to make such use of my appearance.

I release Licensees, any company or person employed by or related to any Licensee, and any person or company that obtains any rights from any Licensee described above, from all liabilities and claims, whether known or unknown, asserted or non-asserted, that relate in any way to the rights I have given to Licensees above or my participation in the Campaign including, but not limited to, those arising from or related to editorial acts, copyright, defamation, misrepresentation, faulty reproductions, violation of right of publicity or invasion of privacy.

In consideration of the valuable contributions made by individuals who have provided quotes on our website, we hereby establish a Random Gift Program. Participation in this program is subject to the following terms and conditions.

Eligible participants shall be chosen at the discretion of the company and may receive gifts selected by the company, with no guarantee of specific items or values. By accepting any gift under this program, participants agree to release and hold harmless the company from any and all liability, claims, or damages arising out of or in connection with the program or the receipt, acceptance, possession, or use of any gift.

The company reserves the right to modify, suspend, or terminate the Program at any time without prior notice. Participation in the Program constitutes acceptance of these terms and conditions.
